COMMUNICATIONS SHELTER AND TOWER—MANAGEMENT LEASE
AGREEMENT

This Communications Shelter and Tower Management Lease Agreement (this "Agreement") is made and entered into as of March 2016, by and among the Town of Center (TOC) and Chaffee County Telecom, LLC d/b/a Colorado Central Telecom (CCT) (collectively the "Parties" and each, a "Party").

RECITALS

WHEREAS, TOC is the owner of the Tower and Communications Shelter located at 357 E. White St., Center, CO and is in need of Data Facility Management expertise including Management of the Tower and Communications Shelter and also in need of the delivery of High-Speed Internet/Voice Telephony Services in the Town of Center, Colorado and the surrounding areas; and

WHEREAS, CCT is a company involved in the internet and connectivity marketplace and is already providing internet access and voice services to the Town of Center and the surrounding area since April, 2012, through a fixed wireless internet solution utilizing in part, equipment located at the aforementioned site; and

WHEREAS, CCT desires to manage and lease from TOC the Communications Shelter and Tower facilities described above.

NOW, THEREFORE, in consideration of the mutual promises and conditions contained herein and for other good and valuable consideration, receipt of which is hereby acknowledged, the Parties hereby agree as follows:
